NONDISCLOSURE AGREEMENT and DISCLAIMER

In order to access the confidential business proposals (provided by the respective "Originators") through the Angels for Moore website, you ("Angel") must agree to the following terms and conditions of the Nondisclosure Agreement and Disclaimer.  By clicking on "I accept", you accept and agree with the following:

NONDISCLOSURE AGREEMENT

1. All Information contained herein will be treated as confidential.  "Information" shall include the contents of the written business proposals accessible through the Angels for Moore website.  It includes, but is not limited to, the ideas, concepts, know-how, techniques, designs, specifications, drawings, blueprints, tracings, diagrams, flow charts, data, and other technical, financial or business information.

2. The Angel shall not disclose any information contained herein to other persons without the expressed consent of the Originator.

3. Notwithstanding anything to the contrary herein, the Angel will not be under any obligation to preserve the confidentiality of any Information that:

a. was previously known by it free of any obligation to keep it confidential;

b. is distributed to third parties by the Originator without restriction;

c. is or becomes publicly available, by other than unauthorized disclosure by the Angel receiving the Information; or

d. is wholly and independently developed by the Angel receiving the Information.

4. All Information shall be deemed the property of the Originator, and upon request, the Angel will return all Information received in tangible form to the Originator or destroy all such Information.

5. Nothing contained in this Agreement shall be construed as granting or conferring any rights by license or otherwise in any Information disclosed by the Originator.

6. This Agreement shall be governed and construed in accordance with the laws of the State of North Carolina, and shall benefit and be binding upon the parties hereto and their respective successors and assigns.

7. Since the Originator may choose not to do business with the Angel in the future, the Angel acknowledges that the Originator is not responsible or liable for any business decisions made by the Angel in reliance upon disclosures made during any meetings between the parties or in reliance on any results of the discussions.

8. This Agreement shall continue until terminated in writing by either the Angel or the Originator.  The obligation to protect the confidentiality of Information received prior to such termination shall survive the termination of this Agreement for a period of three (3) years beginning on the date of acceptance of this Agreement.

9. The Angel agrees that he or she will make no copies or otherwise reproduce the Information provided by the Originator and further agrees to remove all such Information from any files and return all Information to the Originator, if requested to do so.

10. Without the prior written consent of the U.S. Department of Commerce, as required, the Angel agrees not to transmit any of the Information, directly or indirectly, to any country or to any citizen or resident of any country proscribed by the U.S. Department of Commerce under its Export Administration Regulations.  This obligation shall survive the termination of this Agreement.

11. The Angel acknowledges that the breach or threatened breach of this Agreement may result in irreparable injury to the Originator and that, in addition to its other remedies, the Originator shall be entitled to injunctive relief to restrain any threatened or continued breach of this Agreement.  The Angel hereby waives any requirement for the posting of a bond or other security in connection with the granting to the Originator of such injunctive relief.

12. The Angel understands that this Agreement has been duly executed and constitutes a valid, binding and enforceable obligation of the Angel.

13. No part of this agreement may be assigned to any third party without the expressed written consent of the Angel and Originator hereto.

14.The Angel warrants and represents that he or she has the full and necessary authority to enter into such binding Agreement and that the Angel so represented is fully capable of performing all terms and conditions of this Agreement.

15. This Agreement supersedes all previous agreement and understanding, oral or written, relating hereto. This Agreement can only be modified by written agreement of the Angel and Originator.

16. In any legal action necessary to enforce or interpret this Agreement, the prevailing party therein shall recover all costs, expenses and reasonable attorney's fees.

Angels for Moore makes no endorsements for any project that may be distributed to the  angels list through the Angels for Moore website.  It is the responsibility of each angel to  conduct due diligence, and it is completely at the discretion of each angel individually as  to whether or not he or she decides to invest in any project.  Angels for Moore makes no  guarantees regarding potential investment returns.
